Effective Date: 1 March 2026 Last Updated: 1 March 2026 These Terms of Service (“Terms”) govern your use of the Act Local website (actlocal.ae) and any digital marketing services provided by Act Local (“we,” “us,” “our”) to you (“Client,” “you,” “your”). By using our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

1. Services

Act Local provides digital marketing services including but not limited to:

• Search Engine Optimisation (SEO)
• Google Ads and paid media management
• Web design and development
• Content marketing
• Social media marketing and management
• Branding and creative services

The specific scope of services for each engagement is defined in a separate Service Agreement or proposal document, which forms part of these Terms.

2. Service Agreements

2.1 Proposals and Acceptance

Before starting work, we provide a written proposal detailing the scope, deliverables, timeline, and fees. Services begin upon your written acceptance (email confirmation is sufficient) of the proposal.

2.2 Scope Changes

Any changes to the agreed scope require written approval from both parties. Additional work outside the original scope will be quoted separately before execution.

3. Fees and Payment

3.1 Pricing

Our fees are outlined in each Service Agreement. Current published pricing is available at actlocal.ae/pricing. All prices are in UAE Dirhams (AED) unless stated otherwise.

3.2 Payment Terms

• Monthly retainers (SEO, social media, content): invoiced on the 1st of each month, payable within 7 days
• Project-based work (web development, branding): 50% deposit before work begins, 50% upon completion, unless otherwise agreed
• Ad spend: billed separately from management fees. Client is responsible for all advertising spend directly to the platform (Google, Meta, TikTok) or through our managed accounts as agreed

3.3 Late Payment

Invoices unpaid after 14 days will incur a late fee of 1.5% per month on the outstanding amount. We reserve the right to pause services on accounts with invoices overdue by 30 days or more.

3.4 Taxes

All fees are exclusive of VAT. UAE VAT (currently 5%) will be added where applicable. Act Local is a registered VAT entity.

4. Client Responsibilities

To deliver effective results, we need your cooperation. You agree to:

• Provide timely access to website, hosting, analytics, and ad accounts as needed
• Respond to requests for information, approvals, and feedback within 5 business days
• Provide accurate business information for use in campaigns, content, and listings
• Comply with platform terms of service (Google, Meta, TikTok, etc.)
• Not engage in activities that violate search engine guidelines, advertising policies, or applicable laws

Delays caused by failure to provide required access or approvals may affect timelines and deliverables.

5. Intellectual Property

5.1 Work Product

Upon full payment, you own the deliverables we create for you — including website designs, content, ad copy, and creative assets. This applies to custom work created specifically for your engagement.

5.2 Pre-existing Materials

We retain ownership of our pre-existing tools, templates, frameworks, and methodologies. You receive a license to use them as part of the delivered work.

5.3 Third-Party Materials

Some deliverables may include third-party assets (stock images, fonts, plugins). These are subject to their respective licenses. We will inform you of any third-party licensing requirements.

5.4 Portfolio Rights

We reserve the right to reference your project in our portfolio, case studies, and marketing materials, unless you request otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, financial data, campaign performance data, customer information, and trade secrets. Confidentiality obligations survive the termination of services for a period of 2 years.

7. Data Protection

We handle personal data in accordance with our Privacy Policy, the UAE Federal Decree-Law No. 45 of 2021 (PDPL), and applicable data protection regulations. Client data is kept strictly confidential and is never shared between client accounts.

8. Term and Cancellation

8.1 Monthly Services

Monthly retainer services (SEO, social media, content, ads management) operate on a month-to-month basis. Either party may cancel with 30 days’ written notice. Fees for the current billing period are non-refundable upon cancellation.

8.2 Project-Based Services

Project-based engagements (web development, branding) follow the timeline in the Service Agreement. If you cancel a project mid-way:

• Work completed to date is billed at the agreed rate
• The initial deposit is non-refundable
• We will deliver all completed work product to you

8.3 Termination for Cause

Either party may terminate immediately if the other party:

• Breaches a material term and fails to remedy within 14 days of written notice
• Becomes insolvent or ceases operations
• Engages in illegal, unethical, or fraudulent activity

9. Limitation of Liability

9.1 No Guarantees of Specific Results

Digital marketing outcomes depend on many factors outside our control — including search engine algorithms, competitor actions, market conditions, and platform policy changes. We do not guarantee specific rankings, traffic volumes, lead quantities, or revenue figures. We do guarantee we will apply best practices, industry-standard methodologies, and our full expertise to every engagement.

9.2 Liability Cap

Our total liability for any claim arising from our services is limited to the fees paid by you in the 3 months preceding the claim.

9.3 Exclusions

We are not liable for indirect, incidental, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from use of our services.

10. Indemnification

You agree to indemnify and hold Act Local harmless from claims arising from:

• Content, materials, or information you provide to us
• Your violation of third-party rights
• Your violation of applicable laws or regulations
• Your use of the deliverables after handover

11. Website Terms of Use

11.1 Website Content

The content on actlocal.ae is for informational purposes. While we strive for accuracy, we do not warrant that all information is complete, current, or error-free.

11.2 Prohibited Use

You may not use our website to:

• Distribute malware or harmful code
• Scrape content without permission
• Misrepresent your identity or affiliation
• Engage in any activity that disrupts website functionality

12. Governing Law

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai. Any disputes shall be resolved through the courts of Dubai, UAE.

13. Changes to These Terms

We may update these Terms to reflect changes in our services or legal requirements. Material changes will be communicated via email or website notice. Continued use of our services after changes constitutes acceptance.
